These Terms of Service constitute an agreement between you and Gym Soft LLC, the owner and operator of Speedy Grid. Triadic Software LLC provides software development and related technical services on behalf of Gym Soft LLC.
These Terms govern access to and use of the Speedy Grid website, the Speedy Grid application (including app.speedygrid.com), demos, and related online services (collectively, the “Services”). By accessing or using the Services, creating an account, or signing up for a subscription, you agree to these Terms. You do not need to click a separate “I agree” button for these Terms to apply.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
1. Company Identity
Gym Soft LLC owns Speedy Grid, operates the SaaS business, and is the customer contracting entity under these Terms.
Triadic Software LLC develops and maintains the Speedy Grid software and may provide infrastructure administration, technical support, security maintenance, and related operational services for Gym Soft LLC. Triadic Software LLC is not a party to your customer subscription agreement under these Terms unless a separate written agreement expressly says otherwise.
2. Description of the Service
Speedy Grid is an online rotation scheduling and facility management software platform designed for sports facilities and gym owners. Features publicly described for Speedy Grid include, without limitation:
- Creating and managing facility equipment and rotation schedules
- Building and printing class and facility grids, including A/B or multiple schedule options
- Importing class information from supported class-management systems (currently described as Amilia, Jackrabbit, and iClass Pro) or adding classes manually
- Analytics related to class and rotation activity
- User accounts with role-based access (for example, coach, manager, and admin permissions as implemented in the product)
- A free demo environment for evaluation, and paid subscription access for production use
We may improve, add, or remove features over time. Marketing descriptions are informational and do not guarantee that every listed feature will remain available in the same form.
3. Eligibility and Accounts
- You must be able to form a binding contract under applicable law. The Services are intended for business use by adults acting for facilities or organizations, not for children.
- You agree to provide accurate registration and account information and to keep it updated.
- You are responsible for safeguarding credentials and for activity under your accounts.
- Customer administrators are responsible for inviting users, assigning roles, and promptly removing access when someone leaves the organization.
- You must not share admin credentials in a way that compromises account security or violates these Terms.
4. Subscriptions, Pricing, and Billing
Speedy Grid is offered as a subscription service. Published plans currently include a three-month plan and an annual plan, with pricing shown on the Speedy Grid pricing page (for example, promotional figures of $75 for three months and $250 for one year have been published). Prices, plan names, and inclusions may change.
Verified product messaging states:
- Speedy Grid is subscription-based
- You may cancel under your account/billing settings
- A free trial of the full production product is not offered; a demo is provided instead, and shorter paid terms (such as a three-month membership) are positioned as a lower-commitment way to evaluate the product
By purchasing a subscription, you authorize Gym Soft LLC and its payment processor, Stripe, to charge the payment method you provide for the applicable fees, taxes, and recurring renewal charges until you cancel. All fees are in U.S. dollars unless otherwise stated.
Automatic renewal. Subscriptions renew for successive terms of the same length unless canceled before the renewal date in accordance with your account settings or these Terms.
Cancellation. You may cancel at any time through billing settings in your account (or by contacting us if self-service cancellation is unavailable). Cancellation takes effect at the end of the then-current paid term. Access generally continues through the end of that paid term.
Refunds. If you fail to cancel before renewal, no refund is given for the renewed term. Except where required by law or expressly agreed in writing by Gym Soft LLC, fees are non-refundable once a paid term begins.
Failed payments and price changes. We may suspend access for unpaid amounts. We may change prices for future terms with notice by updating the pricing page, emailing account contacts, or providing in-product notice. Changes generally apply to subsequent renewal terms.
Payment processing. Card payments are processed by Stripe. Full payment card numbers are handled by Stripe and are not stored on Speedy Grid application servers. Stripe’s services are also subject to Stripe’s own terms and privacy policy.
Taxes. Fees may exclude taxes. You are responsible for applicable taxes unless we are required to collect them.
5. Service Data
“Service Data” means schedules, equipment configurations, class records, account and user information, and other content you or your authorized users submit to or create in the Speedy Grid application.
- Service Data in Speedy Grid is owned and controlled by Gym Soft LLC as part of operating the Service.
- You receive a limited right to access and use Service Data through your subscription solely for your internal facility operations while your account remains in good standing.
- Speedy Grid does not provide a customer data-download or data-export feature. You should not rely on Speedy Grid as your sole archive of facility information.
- You are responsible for the accuracy of information you submit and for having all rights and lawful authority to submit it (for example, staff or coach contact details). Speedy Grid is not designed to store children’s personal information, and you agree not to enter children’s personal information into the Service.
- Our handling of personal information is further described in the Privacy Policy, which is incorporated by reference.
6. Acceptable Use
You agree not to, and not to permit others to:
- Access another customer’s data without authorization
- Probe, scan, or breach security or authentication measures
- Upload malware or interfere with Service availability
- Use the Services for fraud, harassment, or unlawful activity
- Scrape, harvest, or systematically extract data except as allowed by documented product features or written permission
- Abuse APIs, imports, or integrations
- Reverse engineer the software except to the limited extent permitted by law
- Infringe intellectual property or privacy rights
- Misrepresent your identity or affiliation
- Resell or sublicense the Services except as expressly permitted in writing
We may investigate violations and suspend or terminate access as described below.
7. Intellectual Property
Speedy Grid, including the software, branding, documentation, and related intellectual property made available through the Services, is owned by Gym Soft LLC or its licensors. Subject to these Terms and your active subscription, Gym Soft LLC grants you a limited, non-exclusive, non-transferable right to access and use the hosted Services for your internal facility operations.
These Terms do not transfer ownership of Speedy Grid source code to you and do not transfer Triadic Software LLC’s independent intellectual property, if any, except as needed for Gym Soft LLC to provide the Services under its arrangements with Triadic.
Feedback you provide may be used by Gym Soft LLC to improve the Services without obligation to you.
8. Availability, Maintenance, and Support
We strive to keep Speedy Grid available and useful, but the Services may be interrupted by maintenance, updates, hosting or network failures, third-party outages, security incidents, or events beyond our reasonable control. We do not guarantee 100% uptime and do not provide a service-level agreement or uptime credit schedule in these Terms unless Gym Soft LLC enters a separate written SLA.
Support is available through the channels we publish (including email contacts listed below and help resources on the website). We do not guarantee specific response times in these Terms unless separately agreed in writing.
9. Account Termination and Data Retention
When your subscription is canceled or an account is terminated:
- Access to the paid Services generally ends at the end of the paid term or upon termination for cause, whichever applies
- There is no customer data-export or download feature
- Gym Soft LLC may retain Service Data for as long as it determines is appropriate for business, security, backup, dispute-resolution, tax, or legal purposes
- Restoration of deleted or inaccessible accounts is not guaranteed
10. Suspension and Termination
We may suspend or terminate access immediately or on notice if:
- Fees are unpaid
- Your use poses a security risk or legal risk
- You materially violate these Terms or applicable law
- You abuse the platform or access another customer’s data without authorization
Where reasonably practicable and legally appropriate, we will provide notice and an opportunity to cure non-critical issues. You may stop using the Services and cancel as described in the billing section. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute terms) will survive termination.
11. Warranties and Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GYM SOFT LLC AND ITS SERVICE PROVIDERS (INCLUDING TRIADIC SOFTWARE LLC) DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT SERVICE DATA WILL NEVER BE LOST.
Some jurisdictions do not allow certain disclaimers. In those jurisdictions, disclaimers apply to the fullest extent permitted.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER GYM SOFT LLC NOR ITS DIRECTORS, EMPLOYEES, OR SERVICE PROVIDERS (INCLUDING TRIADIC SOFTWARE LLC ACTING ON GYM SOFT LLC’S BEHALF) WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO GYM SOFT LLC FOR THE SERVICES DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR, IF NO FEES WERE PAID, ONE HUNDRED U.S. DOLLARS).
Nothing in this section limits liability that cannot be limited under applicable law (for example, certain liability for fraud or willful misconduct where such limits are prohibited).
13. Indemnification
You will defend and indemnify Gym Soft LLC and its personnel against third-party claims, damages, and reasonable attorneys’ fees arising from: (a) information you submit to the Services; (b) your unlawful use of the Services; (c) your violation of these Terms; or (d) your infringement or misappropriation of third-party rights, except to the extent caused by Gym Soft LLC’s willful misconduct.
14. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Kentucky, excluding conflict-of-law rules.
Informal resolution. Before filing a formal claim, you agree to contact us and attempt to resolve the dispute informally for at least thirty (30) days after written notice.
Binding arbitration. If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration may be conducted by phone, video, documents, or in person in Louisville, Kentucky. YOU UNDERSTAND THAT YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY TO THE EXTENT PERMITTED BY LAW. Each party will bear its own costs except as AAA rules or applicable law require otherwise.
Court venue. If a dispute proceeds in court instead of arbitration (including to compel arbitration, confirm an award, or for claims that cannot legally be arbitrated), the exclusive venue is the state or federal courts located in the Commonwealth of Kentucky, and you consent to that venue.
Individual claims only. To the fullest extent permitted by law, disputes must be brought in an individual capacity only—not as a class, consolidated, or representative action.
The following are not required to be arbitrated: claims seeking to protect intellectual property rights, claims related to unauthorized access or misuse of the Services, and requests for temporary injunctive relief.
15. Changes to These Terms
We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services and cancel any subscription according to the cancellation rules. We do not require a separate click-through acceptance for updated Terms.
16. Miscellaneous
- These Terms, together with the Privacy Policy and any order or plan details presented at purchase, are the entire agreement between you and Gym Soft LLC regarding the Services.
- If any provision is unenforceable, the remainder remains in effect.
- Failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
- The Services are controlled from the United States.
